The Annual Meeting of The Mary T. and Frank L. Hoffman Family Foundation is held over several days in late Spring or early Summer of each year following the filing of the 990-PF with the Internal Revenue Service, on or before 15 May.  The time frame allows for personal, telephone, and email communication among Trustees in accordance with the By-Laws.  The Dated indicated below is the date these Minutes were compiled.

Review of Minutes:

  • The minutes of the previous Annual Meeting were reviewed and approved unanimously.

Treasurer's Report:

  • 2008 Income: $47,108.00
  • 2008 Expenses: $47,729.00
    Professional Fees: $275.00
    Internet and Other Expenses: $5,009.00
    Internet Publishing Services: $37,410.00
    Donations: $5,735.00
  • 2008 Excess Revenue: ($623.00)
  • Cash in the bank as of this date: $3,919.86
  • The Treasurers report was accepted unanimously.

Review of Current Foundation and Web Site Status:

  • By the end of December 2008 the number of published text documents had reached 53,400.
  • From 11 Feb 2008 thru 10 Feb 2009 we had 9.948,000 visitors to our web site determined by IP address.
  • We are still hosting more than 35 other organizations on our web site, which also consumes most of our expenses.
  • We engaged the services of Veda Stram as a contract publisher to assist with most of the non-hosted publishing work.
  • Simplex is doing the bulk of the day to day publishing of our hosted web sites. She is extremely reliable, but not being a vegan or animal rights person, she is limited in what she can do in editing and other areas.
  • We are doing the remainder of the publishing and writing.
  • Review of Budget:
    • Income from Donations: $52,000.00
    • Expenses: $50,800.00
      Internet and Other Expenses: 5,500.00
      Internet Publishing Services: 40,000.00
      Professional Fees: 300.00
      Donations: 5,000.00
    • Contingency and Reserve: $1,200.00
    • Both Income and Expenses are running less than half of the proposed budget, but since the Frank and Mary Hoffman agreed to fund up to $52,000.00, no changes were needed.

Old Business:

  • We still have not found any reason for the dramatic decrease in youth visits to our animal exploitation and other web site sections.  Without any reason being found, the Board took no specific action.

New Business:

  • Proposed Budget for Next year:
    • Income from Donations: $52,000.00
    • Expenses: $50,800.00
      Internet and Other Expenses: 5,500.00
      Internet Publishing Services: 40,000.00
      Professional Fees: 300.00
      Donations: 5,000.00
    • Contingency and Reserve: $1,200.00
    • After discussion, and Frank and Mary Hoffman's assurance that they would fund up to $52,000.00, the proposed Budget was  considered sufficient and accepted unanimously.

There being no further business, the meeting was adjourned.
